The Business
The Parsec Group, founded in 1986 in Arvada, Colorado, keeps the operating systems big companies quietly depend on running: OpenVMS, Unix, AIX, Solaris, the platforms that still sit under critical infrastructure long after the market moved on. Parsec deliberately avoids the commoditized corners of IT support and differentiates on direct access to onshore experts, the person who answers the phone is the person who fixes the problem. Nearly all of its revenue is recurring, and its client list runs from Fortune 100 enterprises to small shops that have relied on the same support contract for decades.
Wayne Sauer bought out his original co-founder just a couple of years into the business and ran it as sole owner for the better part of four decades, talking about the company the way you talk about family. The succession plan was already inside the building: his son Strider, Parsec's President, had been running day-to-day operations for years. At 65, Wayne wanted to step back, spend more time on Florida golf courses, and hand off to a buyer who would keep his team intact, a condition he cared about more than the last dollar of price.

Parsec connected with ITSA on Rejigg within just one week, in December 2023, a fast match built on ITSA's standing as a strategic buyer in the same industry. Eleven buyer conversations ran on the platform, but the fit was clear early: the LOI was executed in March 2024, and the deal closed in August 2024, with client services running uninterrupted throughout the transition and Strider staying on to lead the company as CEO. The seller paid no brokerage fees.

IT Service Alliance (ITSA), a majority employee- and management-owned IT services platform, made Parsec the first acquisition of a purpose-built plan to bring together enterprise IT managed-services firms across North America. Its leadership pairs operating experience with disciplined M&A, and the thesis fit Parsec exactly: keep the experts, keep the client relationships, and give a 38-year-old firm the resources of a platform while preserving its legacy of technical excellence.
